Resumen
The incorporation of loyalty shares is one of the measures included in the draft bill that amends the Stock Companies Law to adjust Spanish legislation to the Directive (EU) 2017/828 of the European Parliament and of the Council of 17 May 2017 as regards the encouragement of long-term shareholder engagement in listed companies. The aim of this paper is to study, using a Law and Economics perspective, its functionality and regulation.

Resumen
This article examines the legal problems and the underlying economic reasoning of contractual clauses with references to third parties; in particular, those clauses that refer to competitors or rivals of the contracting parties to regulate different aspects of the contractual relationship, mainly the price. The use of this type of clause has multiplied with the development of platform markets and digital commerce.

Resumen
The application of judicial transparency controls on standard contract terms in mortgage contracts with consumers has resulted in a litigation wave in Spain. A collateral effect of this massive litigation has been contract design of mortgage contracts, its terms and important changes in them. It does not seem that the new contract design has enhanced contract transparency and resulted in an increase in the consumers’ welfare.

Resumen
The available statistical information shows the high workload of the Spanish judicial system. In addition, the economic crisis imposed by the COVID-19 pandemic will most likely increase litigation. The economic analysis shows that high litigation generates negative externalities. After studying the data, this article examines the effects on litigation in Spain of the adoption of new systems of court fees and fee-shifting rules. It also analyses the information available on alternative dispute resolution mechanisms.

Resumen
Two paradigmatic models have served as the basis for some of the proposals to modify the regulation of prostitution: Swedish prohibitionism and Dutch regulationism. The purpose of this paper is to briefly analyze the results of these two approaches with a view to a possible regulation of the activity in Spain. Findings suggest that neither of the two systems has achieved the intended results and that perhaps an alternative system including elements of the two approaches could yield some positive results, understanding as such, a reduction in both, the activity and the related negative externalities.

Resumen
Income and wealth inequality have become a hot topic, specially after the economic crisis of 2007. Should legislators enact acts and judges issue their rulings to reach a greater economic equality? This paper analyses the effects that such a strategy could have not only in terms of economic efficiency, but also in terms of the inequality problem that is intended to solve. This article shows the great complexity of the issue and points out the unintended consequences that acts and jurisprudence can provoke. This article reaches the same conclusion obtained by Kaplow and Shavell regarding the double harm produced by inefficient redistributive acts.

Resumen
The Coase doctrine is usually presented as a static theorem purporting to explain the spontaneous correction of market defects by agreement between affected parties. However, as Stigler formulated it, those results are only reached under the questionable assumptions of zero transaction costs, well-defined property rights, and independence from the distributive effects of the agreements. The lack of realism of these assumptions has resulted in the unfortunate persistence in applying the statist theory of market defects as proclaimed by Pigou. The spectacular progress of the Chinese economy after Mao, as analyzed by Ronald Coase and Ning Wang (2012) seems to have happened without following the conditions of that theorem.

Resumen
The Economics literature about legal systems has assumed for decades that the Common Law legal system fosters results that are more efficient than the equivalent results produced by the Civil Law legal system. The rationale that backs up this assertion is that Common Law has a structural predisposition to find the legal solution that suits better to the markets' needs. This paper challenges the rightness of that assertion. It does so using a methodological perspective.
