Nowadays, electronic commerce is a booming contractual activity. Indeed, empirical data shows that it is increasing internationally. However, it is failing to establish itself for various reasons. In fact, due mainly to the surrounding distrust, it is yet to reach a similar level to physical or traditional contracting. Self-regulatory systems have been created to mitigate this handicap. Providers operating on the internet can voluntarily adhere to these systems. If they do, differentiating themselves positively from their competitors, they will have to comply with good practices established in the code of conduct. In this paper, we will analyze the peculiarities that arise in this regard from the perspective of Chilean Law.

This paper intends to demonstrate the underlying methodological error in the application of the systematic categories of modern legal science inherited from the German Pandectistic of the 19th century to the Roman law, particularly, the distinction between outer and inner system. To such aim, it will be shown the lack of correlation between the contractual obligations as conceived by the Institutions of Gaius, with our modern concept of contract, based on the voluntary agreement of the parties.

In the shareholder’s agreement defi ned in art. 98 of the Securities Market Law, there are potentially confl icting interests: on the one hand, its members have committed to act jointly in the formation of the company’s will; on the other, each member may exit the company transferring his share to a third party. For lack of an express clause, this problem may be resolved integrating in the contract a keeping shares duty as a conduct secondary duty.

Between 2012 and 2014 the regulator issued a Norm requiring issuers to answer a questionnaire related with corporate governance practices in a “comply or explain” mode. This article studies the answers given by 97 issuers for those years. This article fi rst verifi es whether thepractices included in the questionnaire are considered “useful”, this is, if they were adopted and/ or whether the answers evolved through time. Then, the article analyzes whether the answers were explicit and informative. Although there are differences between categories, on average 65% of the practices evaluated were adopted, of which 59% were adopted before the Norm. In addition, the information contained in the answers seems to be standardized and scarce, suggesting formal and not necessarily actual compliance. Questionnaire answers also indicate few reported changes in governance practices as a consequence of this Norm.

This work is aimed to address the legal nature of the redhibitory action regarding the sales contract to propose a new approach unexplored by the Chilean civil doctrine that suggests conceiving it as a rescission action. This will shift the analysis to a pre-contractual phase, extending the buyer’s actions system, and helping the buyer to strengthen its right of option when facing redhibitory defects

This article analyses the Chilean Supreme Court’s judgment that ordered the adoption of all necessary measures to allow prisoners be able to exercise their right to vote. The antecedents of the judgment, the process, and the content of the judgment are exposed.Likewise, some refl ections are presented that assess positively certain aspects of the Court’sdecision that consolidates its concern for those deprived of their liberty.
